Agreement closed on Acquisition of SurTec through Freudenberg

Munich/Zwingenberg, 06-30-2010 - Freudenberg Chemical Specialities (FCS), Munich, a company forming part of the Freudenberg Group, Weinheim, and SurTec International GmbH (SurTec), Zwingenberg, have signed an agreement concerning the acquisition of SurTec by FCS, thereby laying the foundation for the swift integration of SurTec in the FCS Group. The transaction is subject to the usual closing conditions, including regulatory affairs and is expected to be finished within the forthcoming month.

The two companies already announced the start of discussions on this subject in March 2010. “We are very pleased with the successful conclusion of negotiations with SurTec,” Hanno D. Wentzler, President and CEO of FCS, said. “The company ideally complements our existing chemical specialties portfolio. The acquisition is part of the Freudenberg Group’s strategy to systematically grow this area of business.” It is planned that SurTec becomes the fourth division of FCS effective the date of closing.

“For SurTec, being part of the FCS Group gives us the chance to grow our business strategically, to progress with internationalization and to develop new markets,” Herbert Baunach, President of SurTec, said.“

Freudenberg Chemical Specialities, Munich, was founded in 2004 as a new Business Group within the Freudenberg Group. The company has a lean, market-oriented organization with Management Board and Corporate Functions. Its objective is to promote innovation potentials in the group and to expand world-wide market leadership in specialty lubricants and release agents. The Business Group already includes three largely independent divisions which are active in more than 30 countries: Klüber Lubrication, Chem-Trend and OKS.
